    Strategic update

    Following the termination of the CIWM lease with the Kletsel Dehe Wintun Nation, the Company confirmed it would not appeal and set out a broader path across recycling and new technologies.

  3. February 13, 2026

    Wokaura MOU

    Binding MOU to acquire 100% of the Intellectual Protocol for a minerals recovery system from Wokaura Art and Innovations Inc.; Chad McMillan appointed Strategic Advisor.

  4. March 26, 2026

    Share for debt approved

    TSX Venture Exchange accepted the shares for debt agreement and issuance of 13,146,057 common shares, extinguishing the North Bay debt.

  5. May 13, 2026

    Final Exchange acceptance

    TSX Venture Exchange granted final acceptance of the Wokaura Intellectual Protocol acquisition.

  6. June 29, 2026

    Acquisition closed

    Closed the acquisition of a 100% interest in the Critical Minerals Recycling and Recovery System from Wokaura.

Mr. David Atkinson

David Atkinson founded Earthworks and leads the company’s financial and strategic planning. He has extensive experience working within the regulatory framework for development of the First Nations in North America and has a wealth of experience in that regard.

Mr. David Russell

David Russell is a graduate of Queen’s University and its school of Business and has been involved in business consulting, accounting and management for 40 years. Mr. Russell has been responsible for the accounting and reporting functions for Earthworks since 2010 and has been its Chief Financial Officer for over 6 years. Mr. Russell continues as CFO of Earthworks.

Mr. Calvin Woroniak

Calvin Woroniak sits as an independent director and member of the audit committee. Mr. Woroniak brings with him 33 years of entrepreneurship and independent business experience including organic farming, construction/real estate and retail. Mr. Woroniak has owned, operated and managed large farming operations in western Canada. The latest, Freedom Farm Ltd., is an organic farming operation located in the Comox Valley on Vancouver Island. The farm was sold in 2014, however he continued to manage the operation until May of 2018. Along with the practical experience, he has completed an Agricultural Business Management course.

Mr. Richard Powell

Richard (Rick) Powell joins Earthworks Board with 30 years experience in all aspects of management and operations of a municipal waste management company. Rick has held General Manager positions with California companies Mill Valley Refuse, Stockton Recycling, Eel River Disposal and currently The Ratto Group. Rick has permitted, designed, built and run day to day operations of multiple transfer, C&D and recycling processing facilities.

As announced March 27, 2026, Ms. Barbara Russell was appointed interim Chief Financial Officer while Mr. David Russell is on medical leave.
